A registered agent is a person or company designated to receive official legal documents — service of process (lawsuits, subpoenas, court orders), tax notices, and state correspondence — on behalf of your LLC or corporation. Every US business entity is required by law to maintain a registered agent with a physical address in each state where it is formed or registered to do business.

You can, but only if you have a physical street address (not a PO Box) in the state and you are personally available during business hours every weekday. If you work from home, travel frequently, or operate outside the US, a professional registered agent is essential. Using your home address also makes it part of the public state record, which most founders prefer to avoid.

Missing a legal document can have severe consequences. Courts can issue a default judgment against your business if you fail to respond to a lawsuit in time — even if you never received the papers. A professional agent ensures all documents are received, scanned, and forwarded to you immediately so you always have time to respond.

You need a registered agent in your state of formation and in every additional state where you are foreign-qualified (registered to do business). Yes. If you formed your LLC in Wyoming but now want to do business in California or Texas, you must file a foreign qualification in each additional state and designate a registered agent there. We handle this for all 50 states under a single account.

We can help you understand the Beneficial Ownership Information (BOI) filing requirement under the Corporate Transparency Act. Under FinCEN's March 2025 interim final rule, US domestic LLCs and corporations and their US beneficial owners are exempt from filing a BOI report. Only entities formed outside the US that have registered to do business in a US state ('foreign reporting companies') must file. While the BOI report is separate from registered agent service, our platform provides reminders and guidance on the filing. The report is filed directly with FinCEN — there is no state-level intermediary.

You can cancel your registered agent service before your next annual renewal. Upon cancellation, all scanned documents remain accessible in your dashboard for 90 days. We will also notify you before the cancellation takes effect so you have time to designate a new registered agent with the state — skipping this step can put your entity out of good standing.
